These Terms of Use (“Terms”) are a legal agreement between you (“you,” “user,” or “customer”) and Unlocking Love Institute Inc., doing business as Unlocking Love Institute (“Company,” “we,” “us,” or “our”).

1. Eligibility & Use of the Services

 

1.1 Minimum Age. The Services are intended for individuals 18 years of age or older. By using the Services, you represent that you are at least 18 years old.

1.2 Personal Responsibility. You understand and agree that you are solely responsible for how you use the information and guidance provided through the Site and Services, including any AI-powered tools.

1.3 Geographic Use. We make no representation that the Site or Services are appropriate or available in all locations. You are responsible for complying with local laws where you access or use the Services.

2. Nature of the Services (Education, Not Therapy or Medical Care)

2.1 Educational & Coaching-Style Support Only.

Our Services, including First Aid Responder For Your Heart™, provide educational, self-help, and coaching-style guidance focused on relationships, emotional regulation, and personal development.

2.2 Not Therapy, Counseling, or Medical Care.

The Services do not provide:

​

• Psychotherapy, counseling, psychiatric services, or any form of mental health treatment;
   

• Medical advice, diagnosis, or treatment;
   

• Legal, financial, or other regulated professional advice.
   

No therapist–client, counselor–client, or doctor–patient relationship is created by your use of the Site or Services.

2.3 No Diagnosis.

The Services do not diagnose mental health conditions, personality disorders, or any medical conditions. If you have concerns about your mental or physical health, you should consult a licensed healthcare professional in your jurisdiction.

 

3. Not an Emergency or Crisis Service

3.1 No Crisis Support.

The Site and Services, including First Aid Responder For Your Heart™, are not designed for emergencies or crisis situations (including self-harm, harm to others, or domestic violence).

3.2 If You Are in Crisis.

If you are in immediate danger or experiencing a mental health crisis, do not use the Services. Instead, contact:

• Your local emergency number (e.g., 911 in North America);
   

• A local crisis hotline or suicide prevention line; or
   

• A qualified healthcare or mental health professional in your area.

 

3.3 Domestic Violence & Safety Concerns.

If you are experiencing violence, abuse, or fear for your safety, we strongly encourage you to seek help from local emergency services, shelters, or domestic violence organizations. The Services are not a substitute for safety planning or professional intervention in unsafe environments.

4. Accounts & Access

4.1 Account Creation.

To access certain Services, you may need to create an account (for example, through MemberVault or other portals). You agree to provide accurate, current, and complete information and to keep it updated.

4.2 Login Credentials.

You are responsible for maintaining the confidentiality of your login information and for all activities that occur under your account. You agree not to share your login credentials with others.

4.3 Unauthorized Use.

You agree to notify us immediately at [support email] if you suspect any unauthorized use of your account or any other breach of security.

4.4 Access Revocation.

We reserve the right to suspend or terminate your access to the Site or Services at any time, without notice, for conduct that we, in our sole discretion, believe violates these Terms or is harmful to other users, us, or third parties.

All content on the Site and within the Services—including but not limited to text, scripts, workbooks, PDFs, prompts, frameworks, videos, audio, graphics, logos, trademarks, trade names, designs, and the overall look and feel (collectively, the “Content”)—is owned by us or licensed to us, and is protected by copyright, trademark, and other intellectual property laws.

6.2 Trademarks.

“First Aid Responder For Your Heart™,” “Unlocking Love Institute,” and any related names, logos, or slogans are trademarks or service marks of the Company. You may not use them without our prior written permission.

6.3 Limited Personal License.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and Services for your personal, non-commercial use only.

6.4 Prohibited Uses of Our Content.

You may not, without our explicit written permission:

• Reproduce, distribute, publicly display, or publicly perform any Content;
   

• Share, sell, resell, or license any of our digital products, workbooks, or prompt packs;

Any unauthorized use terminates the license granted under these Terms

 

7. User Content & Responsibilities

 

7.1 User Content.

You may provide content in various forms (e.g., messages, text responses to prompts, notes, or other input). You retain any rights you have in this content, but by submitting it:

• You grant us a non-exclusive, worldwide, royalty-free license to use, store, display, and, where applicable, analyze such content for the limited purposes of:

7.2 Confidentiality Limitations.

While we treat user information with care and describe our practices in our Privacy Policy, the Services are not designed for highly confidential disclosures (e.g., trade secrets, litigation-sensitive information).

8. AI-Powered Features & Limitations

 

8.1 AI Provider & Nature of Responses.

Some Services, including First Aid Responder For Your Heart™, are powered by third-party artificial intelligence technology (such as OpenAI’s models). AI-generated responses are created automatically based on patterns in data and your inputs.

8.2 No Guarantee of Accuracy.

AI-generated responses may be incomplete, incorrect, or not applicable to your situation. You agree that:

​

• You will use your own judgment before acting on any information;
   

• You will not treat AI outputs as professional, medical, or legal advice;
   

• You are solely responsible for any decisions or actions you take based on the Services.
   

8.3 AI Behavior Boundaries.

We instruct the AI system not to:

• Provide medical, mental health, legal, or financial diagnosis;
   

• Encourage self-harm, harm to others, or illegal activities.

8.4 Data Sharing with AI Provider.

Your interactions with AI-powered features may be processed by the AI provider (such as OpenAI) under their own terms and privacy policies. For more details, see our Privacy Policy.

 

9. Prohibited Uses

You agree not to use the Site or Services:

​

• For any unlawful purpose or in violation of any local, national, or international law;
   

• To harass, threaten, or harm others;
   

• To attempt to bypass or interfere with the proper functioning of the Site or Services;
   

• To reverse engineer, decompile, or attempt to extract source code or underlying models;
   

• To scrape, copy, or harvest data from the Site or Services;
   

• To train or develop competing AI products using our Content, prompts, or outputs without our written permission.

 

10. Disclaimers

 

10.1 No Warranties.

To the fullest extent permitted by law, the Site and Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to:

• Any warranty that the Services will be uninterrupted, secure, error-free, or free of harmful components;

10.2 No Guarantee of Outcomes.

We do not guarantee that:

• Your partner will change or behave in a particular way;
   

• Your emotional state or circumstances will improve.

11. Limitation of Liability

 

To the maximum extent permitted by applicable law:

11.1 Exclusion of Damages.

The Company, its owners, directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, goodwill, or other intangible losses, resulting from:

• Any conduct or content of any third party;
   

• Unauthorized access to or use of your information;
   

• Any information or guidance provided through the Services, including AI-generated content.
   

11.2 Cap on Liability.

In no event shall our total liability to you for all claims relating to the Site or Services exceed the greater of:

• The amount you paid to us for the specific product or Service giving rise to the claim during the three (3) months prior to the event giving rise to the claim; or
   

• $100 USD.
   

Some jurisdictions do not allow limitations of liability; in such cases, the above limitations may not apply to you to the extent prohibited by law.

 

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its owners, officers, directors, employees, contractors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys’ fees) arising from:

• Your use of and access to the Site or Services;
   

• Your violation of any term of these Terms;
   

• Your violation of any third party right, including any copyright, property, or privacy right;
   

• Any claim that your content caused damage to a third party.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14.2 Dispute Resolution.

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute with us informally by contacting happytohelp@unlockingloveinstitute.com and giving us at least 30 days to respond.

14.3 Jurisdiction.

Subject to any mandatory arbitration or mediation requirements under applicable law, you agree that any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts located in Calgary, Alberta, and you consent to the personal jurisdiction of such courts.

 

15. Termination

We may terminate or suspend your access to the Site or Services, without prior notice or liability, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease, and any licenses granted to you will automatically terminate.

 

16. Severability

​

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

 

17. Entire Agreement

​

These Terms, together with our Privacy Policy and any other policies or legal notices posted on the Site or within the Services, constitute the entire agreement between you and us regarding your use of the Site and Services, and supersede any prior agreements or understandings.
